End-User License Agreement for SOS Card

SOS Card is made as a communication support tool in case of emergency for the hearing impaired, the people with speaking difficulty and the foreigners. Point out illustrations on the card while communicating. Languages of the card are Japanese, English, Korean, Chinese (Simplified & Traditional), Portuguese, and the others.
This End-User License Agreement (“EULA”) is a legal agreement between SOS card User (“USER”) and Architectural Association of Japanese DEAF (“AAJD”), which governs the use of SOS Card (“CARD”) that will be download from this website to USER’s computerized hardware (“TERMINAL”)
If the USER agrees to be legally bound by the terms of this EULA, the USER may download the CARD on this website in accordance with the terms of this EULA. If the does not agree the terms of this EULA, AAJD shall not be deemed to have licensed the CARD to the USER. In such case, the USER is not authorized by AAJD and the USER may not use the CARD.
Terms and Conditions.

 

Article 1(Ownership)

All rights, titles and interest in and to the CARD and files including electronic formats associated therewith are owned by AAJD. The foregoing rights to the CARD are licensed to the USER on a limited basis as prescribed in the following Article 2. In any event, this provision should not be construed in any way, as an expression to assign or sell any copyrights of, or any other intellectual property rights to, the CARD from AAJD to the USER.

 

Article 2 (Grant of License)

2.1 AAJD grants the USER an exclusive license to install to use the CARD on the USER’s TERMINAL.

2.2 AAJD further grants the USER to modify the CARD to be used only by the USER under the condition that the USER shall inform the conduction in advance and then submit one copy of the modified card to AAJD.

2.3 AAJD does not grant the USER to be used the original CARD and the modified card as mentioned in article 2.2 above for the purpose of the sale or commercial use.

2.4 AAJD grants the USER to produce required a number of copies of the CARD solely for archival purposes, which such copy shall attach and stipulate all copyright and intellectual property right notices of AAJD.

 

Article 3 (Warranties Disclaimer)

To the extent allowed by law, this CARD is provided to the USER “as is” without warranties or conditions of any kind, whether oral or written, express or implied.

AAJD specifically disclaims any implied warranties or conditions of merchantability, satisfactory quality, non-infringement and/or fitness for a particular purpose.

 

3.1 The Card is subject to be updated without notice for the purpose of security improvement, error correction and the other improvements.

3.2 The Card’ function may be improved, modified or eliminated along with updating.

3.3 All the Articles of the EULA consented with the original CARD are valid for the updated CARD.

 

Article 4 (Limitation of Liability)

In no event shall AAJD be liable for any loss of profits, loss of business opportunities, loss of use of data, interruption of business, or for indirect, special, incidental, punitive, exemplary or consequential damages of any kind, arising out of the use, inability to use, or the results of use of the CARD, whether based in contract, tort, or otherwise. The usage of the CARD by the USER is entirely at the USER’s own risk. Should the CARD prove defective, the USER assume the entire cost of all service, repair or correction and, to the extent permitted by the applicable law, the USER agrees to unconditionally waive all statutory or other rights that may be held by the USER against AAJD in respect of such defect.

 

Article 5 (Termination)

This EULA shall be effective upon the USER’s acceptance and continue in effect unless the USER ceases to use the CARD. However, AAJD may terminate this EULA without notice.

AAJD is deemed to cancel this EULA immediately by the USER’s violation of this EULA. Then the USER shall erase, dispose, or return the Card to AAJD in two weeks. Article 4 and 5 are still to be valid after termination of the EULA.

 

Article 6 (Governing Laws)

This English language translation of the original Japanese language EULA is governed and controlled under the jurisdiction of the law of Japan. If any of the provisions of this EULA shall be declared void. Such provision shall be severable and independent from the other provisions of this EULA, and the validity of the other provisions and of the entire EULA shall not be affected.

 

Article 7 (Other Terms)

In the event the USER agreed to or accepted with any terms and conditions offered by AAJD with respect to use of the CARD subject to this agreement, such Optional Terms shall prevail in all respects to the extent of any conflict with terms and conditions set forth in this EULA, and non-existence of applicable or corresponding terms in this EULA.
